Terms & Conditions

By accessing or using narrativo.id and engaging Narrativo's services, you agree to be bound by the following Terms & Conditions. Please read them carefully before using our services.

1. Scope of Services

Narrativo is a creative and communication agency providing professional services including but not limited to:

  • Brand identity development and strategy
  • Strategic content creation and copywriting
  • Multimedia storytelling and video production
  • Digital and social media management
  • Creative consulting and related professional services

Services may be delivered on a project-based or retainer-based agreement, as mutually agreed upon in writing through a project proposal, contract, or service agreement.

2. Project Engagement & Revisions

Before any project commences, the following will be clearly defined and agreed upon:

  • Project scope and objectives
  • Deliverables and milestones
  • Timeline and deadlines
  • Number of revision rounds included

Revisions are provided in a flexible and reasonable manner, within the boundaries agreed in the project scope.

Important: Requests for work beyond the agreed scope, additional revisions beyond the included rounds, or significant changes in direction may be subject to additional fees or timeline adjustments. We will communicate any such changes before proceeding.

3. Payment Terms

Payment structure will be specified in the project agreement and may include:

  • Full upfront payment for smaller projects or new clients
  • Installment payments (e.g., 50% upfront, 50% upon completion or delivery)
  • Retainer-based payments for ongoing monthly services
  • Milestone-based payments for larger, phased projects

Payment Details

Payment Methods: Bank transfer to account details provided in the invoice

Invoice Due Date: Payment is due within 14 days of invoice date unless otherwise agreed

Currency: Indonesian Rupiah (IDR) unless otherwise specified

Late Payments: Invoices not paid by the due date may result in:

  • Temporary suspension of work and deliverables
  • Delayed project completion
  • Additional administrative fees for significantly overdue payments

Refund Policy: Payments are generally non-refundable once work has commenced and resources have been allocated. Refunds may be considered on a case-by-case basis for exceptional circumstances and will be determined at Narrativo's sole discretion.

4. Intellectual Property Rights

Upon Full Payment: All final deliverables and their associated intellectual property rights are transferred to the client only after full payment has been received.

Before Full Payment: Narrativo retains all rights, title, and interest in any work product, including but not limited to designs, content, concepts, and deliverables.

What Narrativo Retains

Narrativo retains ownership and rights to:

  • Working files: Source files, layered files, raw footage, and editable formats
  • Process materials: Drafts, sketches, concepts, wireframes, and development stages
  • Methodologies: Proprietary processes, frameworks, and creative approaches
  • Templates and tools: Internal tools, templates, and resources used in production

Working files and source materials may be provided for an additional fee if requested and agreed upon.

Portfolio Rights: Narrativo retains the right to showcase completed work for portfolio, promotional, and self-marketing purposes across all media and platforms, unless explicitly restricted in writing by the client for confidentiality or competitive reasons.

Third-Party Assets: Use of third-party assets such as fonts, stock images, music, plugins, or software remains subject to their respective licenses. Clients are responsible for any ongoing licensing fees for commercial use of such assets beyond the project scope.

5. Client Responsibilities

To ensure successful project delivery, clients are responsible for:

  • Providing accurate information: Brief, brand guidelines, materials, access credentials, and any required resources
  • Timely feedback: Reviewing and approving deliverables within agreed timeframes
  • Clear communication: Responding to queries and providing necessary clarifications promptly
  • Content ownership: Ensuring that all supplied content, images, text, and materials do not violate any laws, copyrights, trademarks, or third-party rights
  • Decision-making authority: Ensuring that the designated contact has authority to approve work and make binding decisions

⚠️ Important Notice

Delays in client feedback, material provision, or approvals may impact project timelines. Narrativo will make reasonable efforts to accommodate delays, but cannot be held responsible for missed deadlines caused by client-side delays.

6. Right to Refuse or Terminate Projects

Narrativo reserves the right to refuse engagement or terminate an ongoing project if it involves:

  • Illegal, fraudulent, deceptive, or unethical activities
  • Content that violates Indonesian law, public decency, or professional standards
  • Promotion of harmful products, hate speech, discrimination, or violence
  • Repeated uncooperative behavior or breach of agreement terms
  • Non-payment or significant payment delays beyond agreed terms

In case of termination by Narrativo for any of the above reasons, completed work up to the termination point will be billed, and no refund will be issued for payments already made.

7. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement, including but not limited to:

  • Business strategies, plans, and financial information
  • Creative concepts, unpublished work, and proprietary methodologies
  • Client data, customer information, and internal materials
  • Trade secrets and competitive information

Confidentiality Duration

This confidentiality obligation continues for 2 years after project completion, unless otherwise agreed in writing or required by law.

Exceptions: Information that becomes publicly available through no fault of the receiving party, or information required to be disclosed by law or court order.

8. Force Majeure

Narrativo shall not be held liable for delays, failure to perform, or inability to deliver services caused by circumstances beyond reasonable control, including but not limited to:

  • Natural disasters (earthquakes, floods, fires, pandemics)
  • Government actions, laws, regulations, or orders
  • War, terrorism, civil unrest, or political instability
  • Internet, telecommunications, or system failures
  • Third-party service disruptions
  • Other force majeure events

In such events, Narrativo will make reasonable efforts to notify the client and resume services as soon as practically possible. Project timelines may be adjusted accordingly.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Narrativo's total liability for any claim arising from services provided shall not exceed the total fees paid by the client for the specific project in question
  • Narrativo shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities
  • Narrativo is not responsible for results or outcomes beyond our direct control, including but not limited to market performance, audience response, or business success metrics

Client Acceptance: By engaging our services, the client acknowledges that creative work involves subjective judgment and that results may vary based on numerous external factors.

10. Dispute Resolution

In the event of any dispute, controversy, or claim arising from these Terms or our services:

  1. Good-Faith Negotiation: Parties agree to first attempt resolution through direct, good-faith negotiation and communication
  2. Mediation: If negotiation fails, parties agree to submit the dispute to mediation before pursuing legal action
  3. Arbitration or Legal Action: If mediation is unsuccessful, disputes shall be settled through arbitration or legal proceedings in Jakarta, Indonesia

This dispute resolution process does not limit your statutory consumer rights under Indonesian law.

11. Governing Law

These Terms & Conditions are governed by and interpreted in accordance with the laws of the Republic of Indonesia.

Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts of Jakarta, Indonesia, and both parties consent to the jurisdiction of such courts.

12. Changes to Terms

Narrativo may update, modify, or revise these Terms & Conditions at any time to reflect changes in our services, legal requirements, or business practices.

Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.

For ongoing projects or retainer agreements, changes to Terms will apply to new projects or renewal periods, unless otherwise communicated.
